Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website and services provided by Certum Solutions (“Certum,” “we,” “us,” or “our”). By accessing our website or using our services, you agree to be bound by these Terms.

If you do not agree, do not use our website or services.

1. Services Provided

Certum Solutions provides professional services including, but not limited to:

  • Accounting and bookkeeping

  • Payroll and financial operations

  • ERP, inventory, and business system implementation

  • Software configuration and data migration

  • Reporting, analytics, and automation

  • Business advisory and consulting

Some services require signed agreements, onboarding forms, or Proof of Receipt (POR) before work begins.

2. No Financial, Legal, or Tax Guarantees

Certum provides professional support and guidance but does not guarantee financial results, tax outcomes, audit outcomes, or business performance.

You remain responsible for:

  • Business decisions

  • Regulatory compliance

  • Tax filings and payments

  • Data accuracy in connected systems

We rely on information you provide and cannot be responsible for errors caused by incorrect, incomplete, or outdated data.

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information

  • Maintain proper internal records

  • Grant access to systems needed to perform services

  • Keep credentials and accounts secure

  • Review work delivered by Certum for accuracy

Delays or failures caused by missing access, incorrect data, or lack of client response are not Certum’s responsibility.

4. Software & Third-Party Platforms

Certum works with platforms such as:
QuickBooks, Xero, Shopify, ERP systems, payment processors, Microsoft 365, Zapier, and others.

You acknowledge:

  • These platforms are owned by third parties

  • Their availability, uptime, and pricing are outside Certum’s control

  • Certum is not responsible for their outages, changes, or data loss

You are responsible for your own software licenses and subscriptions unless otherwise stated in writing.

5. Payment & Billing

Unless otherwise agreed:

  • Fees are billed according to your service agreement or invoice

  • Late payments may result in service suspension

  • Setup fees, implementation fees, and consulting fees are non-refundable

Failure to pay may result in termination of services and loss of system access.

6. Intellectual Property

All materials provided by Certum including:

  • Reports

  • Templates

  • Dashboards

  • Training materials

  • Processes

remain the intellectual property of Certum unless otherwise stated. You may use them internally for your business but may not resell or redistribute them.

7. Confidentiality

Both parties agree to keep all non-public business, financial, and system data confidential unless required by law or written permission.

8. Limitation of Liability

To the maximum extent allowed by law, Certum is not liable for:

  • Lost profits

  • Business interruption

  • Software failures

  • Data loss caused by third-party platforms

  • Indirect or consequential damages

Our total liability for any claim is limited to the amount paid to Certum in the 6 months preceding the claim.

9. Termination

Either party may terminate services per the terms of their service agreement. Upon termination:

  • Access to systems may be revoked

  • Final invoices become immediately due

  • Data handoff may require additional fees

10. Governing Law

These Terms are governed by the laws of the State in which KHBOffice LLC is registered in the United States, without regard to conflict of law principles.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of our services constitutes acceptance of any updates.
